**Last Updated:** October 26, 2026 • **Version:** 1.0-draft\
**Canonical Reference:** `https://lifecycle.pcnaid.com/apple-pay/legal/terms`

## 1. Introduction & Acceptance

These Terms of Service ("Terms") govern access to and use of the Pcnaid Lifecycle Manager platform, services, software, APIs, and websites (collectively, the "Service"), operated by Pcnaid Inc. ("Pcnaid," "we," "our," or "us"). By accessing or using the Service, the merchant ("Merchant," "you," or "your") agrees to be bound by these Terms.

## 2. Description of the Service

Pcnaid Lifecycle Manager provides an edge-hosted integration framework enabling merchants to accept Apple Pay® on e-commerce storefronts (currently Shopify; additional platforms are added as their connectors launch). Pcnaid operates as an Apple-approved Payment Service Provider (PSP) utilizing Web Merchant Registration and Mass Enablement APIs to register merchant domains and validate Apple Pay merchant sessions.

## 3. Payment Processing & Stripe Connect

Payment processing, cardholder token decryption, and fund settlement are executed through Stripe Connect. As a condition of using the Service, Merchant must establish and maintain an active Stripe Connected Account in good standing and adhere to the Stripe Connected Account Agreement. Pcnaid does not hold, custody, or transmit raw cardholder funds or unencrypted primary account numbers (PANs).

## 4. Platform Subscription & Application Fees

Merchant agrees to pay the applicable SaaS subscription fee (Starter at $49/month or Pro at $99/month, or as otherwise agreed for Enterprise) billed monthly in advance. In addition, Merchant authorizes Stripe to automatically deduct Pcnaid's 1% platform application fee from each completed Apple Pay transaction prior to net fund settlement into Merchant's account.

## 5. Merchant Responsibilities

Merchant is solely responsible for:

* Configuring and maintaining necessary DNS CNAME records for custom checkout subdomains;
* The accuracy of product catalogs, shipping rates, and customer orders;
* Compliance with all applicable consumer protection, e-commerce, and tax laws;
* Maintaining the confidentiality of dashboard access credentials.

## 6. Trademark Attribution & Brand Usage

Apple Pay® is a registered trademark of Apple Inc. Merchant agrees to reference Apple Pay strictly in accordance with Apple's Apple Pay Marketing Guidelines. Merchant shall not represent or imply that Apple Inc. endorses, sponsors, or guarantees Merchant's products or services.

## 7. Disclaimer of Warranties & Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PCNAID DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY. IN NO EVENT SHALL PCNAID BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS ARISING FROM OR RELATED TO THESE TERMS.

## 8. Termination & Suspension

Either party may terminate the Service subscription at any time via the merchant dashboard. Pcnaid reserves the right to immediately suspend or revoke Merchant's Apple Pay domain registration upon notification of fraud, violation of Apple Pay guidelines, or material breach of these Terms.

## 9. Governing Law & Contact

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. For legal inquiries, contact `legal@pcnaid.com`.
