**Last Updated:** October 26, 2026 • **Version:** 1.0-draft\
**Canonical Reference:** `https://lifecycle.pcnaid.com/apple-pay/legal/merchant-agreement`

## 1. Merchant Relationship & Status

This Merchant Agreement is entered into between Pcnaid Inc. ("Pcnaid") and the business entity enrolling in the Pcnaid Lifecycle Manager ("Merchant"). Pcnaid operates as an Apple-approved Payment Service Provider (PSP).

## 2. Apple PPI & Mass Enablement Delegations

By enrolling, Merchant grants Pcnaid the administrative authority to:

* Register Merchant's checkout subdomain with Apple using Pcnaid's Payment Platform Integrator (PPI) and Web Merchant Registration APIs;
* Host the required cryptographic domain verification file (`/.well-known/apple-developer-merchantid-domain-association`) on Merchant's designated subdomain;
* Initiate mutual TLS (mTLS) session validations with Apple servers on Merchant's behalf using Pcnaid's Apple Merchant Identity certificates;
* Forward Apple Pay payment tokens to Stripe Connect using Merchant's Connected Account credentials.

## 3. Merchant KYC & Verification Gate

In accordance with Apple Pay PSP standards and card brand regulations, Merchant must complete full KYC (Know Your Customer) identity and business verification via Stripe Connect before Apple Pay domain provisioning can be completed. Failure to satisfy KYC requirements will prevent live checkout activation.

## 4. Settlement & Application Fee Authorization

Merchant authorizes Stripe to act as the primary cardholder data decryptor and settlement agent. Merchant explicitly authorizes Stripe to deduct Pcnaid's 1% platform application fee from gross transaction proceeds and remit the net balance to Merchant's verified payout account.

## 5. Biometric Liability Shift

Apple Pay transactions authorized using biometric authentication (Face ID or Touch ID) or device passcode typically qualify for liability shift under card network rules (EMV 3DS), transferring chargeback fraud liability away from Merchant to the card issuer, subject to individual card brand operating regulations.

## 6. Platform Connectors & Storefront Security

Merchant is responsible for safeguarding API keys and webhook secrets issued for private platform apps (Shopify, Wix, Squarespace, etc.). Merchant must promptly notify Pcnaid of any unauthorized account access.

## 7. Contact

Questions regarding this Merchant Agreement should be directed to `merchants@pcnaid.com`.
