# Terms of Service

## 1. The service

B2B & Wholesale ("the app") is provided by Pcnaid Inc. ("Pcnaid", "we") to Shopify merchants ("you"). The app provides tools for wholesale company and customer management, registration, price lists, quantity breaks, payment terms, order limits, storefront pricing, checkout enforcement, quick orders, draft orders, sales-representative sessions, and corporate purchasing approvals. You must have an active Shopify store and authority to install and configure the app.

## 2. Plans, billing, and trial eligibility

Free costs $0 and includes one wholesale tier, B2B login and hide-price controls, registration, tags, minimum-quantity and order limits, tax-exempt flags, manual net terms, and a basic quick-order grid. Growth costs $19.99 every 30 days, or $199.90 every 365 days billed annually, and adds unlimited tiered and customer pricing, price lists, quantity breaks, keyboard quick order, manual draft orders, bulk CSV import and export, and multi-language or market login. Premium costs $49.99 every 30 days, or \$499.90 every 365 days billed annually, and adds audited sales-representative sessions, multi-user corporate accounts, purchasing approvals, company accounts, quote and RFQ approval, configurable VAT and tax rules, merchant API and outbound webhooks, ERP connectors, and invoice PDF download. Enterprise is arranged with Pcnaid and is not a self-service charge.

Growth and Premium each offer a shop with no recorded prior paid-plan trial a 14-day introductory trial. Trial eligibility is one time for the shop across the paid plans while the app retains that shop's trial history. The trial-history row survives cancellation and uninstall, so ordinary cancellation, plan changes, uninstall, or reinstall do not provide another trial. Shopify's mandatory `shop/redact` privacy erasure deletes that row. If the shop later reinstalls after the erasure, the missing history means it may be eligible for another 14-day trial.

Paid subscriptions are recurring app charges created through Shopify's Billing API at the price and billing cadence (monthly or annual, as selected before approval) shown before approval. Shopify hosts the charge confirmation. Paid plan changes use immediate subscription replacement, including switching cadence on the same tier. Selecting Free from the app's Billing page cancels every active app subscription returned by Shopify and records the Free plan. Shopify controls charge collection, refunds, and billing outcomes under its billing rules.

## 3. Merchant responsibilities

You are responsible for configuring companies, contacts, locations, prices, discounts, quantities, taxes, payment terms, buyer authority, approvals, and storefront controls; checking draft orders before fulfillment; communicating prices, terms, and order decisions to customers; and complying with applicable commerce, privacy, tax, payment, and consumer-protection requirements. You must not place secrets or unnecessary personal data in applications, notes, company records, price-list descriptions, or session purposes, and must not use the app for deceptive, unlawful, abusive, or unauthorized activity.

## 4. Pricing and order results

The app applies the Shopify catalog data and merchant configuration available when a pricing request, checkout, or draft order runs, but you remain responsible for reviewing price lists, order limits, buyer assignments, payment terms, approvals, and resulting orders. Shopify API, Function, inventory, catalog, network, billing, webhook, or merchant configuration conditions can delay, change, or prevent an operation. No automated process can eliminate every operational or configuration error.

## 5. Data and privacy

The [Privacy Policy](https://docs.pcnaid.com/nodes/shopify/unified-commercial-suite/merchant/help/privacy.md) describes the data the app processes, Shopify access scopes, service providers, retention, uninstall behavior, current implementation limits, and the implemented `customers/data_request`, `customers/redact`, and `shop/redact` flows. Merchants are responsible for their own customer-facing privacy notices and for initiating Shopify privacy requests when appropriate.

## 6. Availability and changes

We work to keep the service available but do not guarantee uninterrupted or error-free operation. We may change or discontinue features to maintain security, comply with Shopify requirements or law, or improve the service. Material changes to these terms will be posted on this page.

## 7. Suspension and termination

You may stop using the app by selecting Free where applicable, cancelling a paid plan, and uninstalling it. We may suspend or terminate access for material breach, security risk, unlawful use, non-payment, or violation of Shopify's policies. The Privacy Policy describes what the implemented uninstall and later Shopify redaction handlers delete, retain, and do not directly clear.

## 8. Disclaimers and liability

To the fullest extent permitted by law, the app is provided as available without implied warranties, and Pcnaid Inc. is not liable for indirect, incidental, special, or consequential damages or lost profits arising from its use. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
